Terms of Service

1. Agreement
These Terms of Service (“Terms”) govern access to and use of the ScoutsIQ website, software, and related services (the “Service”) operated by ScoutsIQ (“ScoutsIQ,” “we,” “us,” or “our”). By accessing the Service, connecting a social account, or otherwise using ScoutsIQ, you agree to these Terms. If you do not agree, do not use the Service.
Our Privacy Policy explains how we collect and use information and is incorporated into these Terms.
2. The Service
ScoutsIQ is an automated content publishing, orchestration, and media analytics platform. The Service includes:
- Video rendering — producing short-form video assets (including captions and related media packaging) for publication.
- Automated queue scheduling — placing approved content into a publishing queue and releasing it at configured times.
- API publication — uploading and publishing authorized video content to connected platforms, including TikTok, through official APIs using credentials you grant via OAuth.
- Media analytics — retrieving available performance metrics for content published through the Service.
Features may change as we improve the platform. We do not guarantee that any particular feature will remain available indefinitely.
3. Eligibility and accounts
You must be able to form a binding contract and must have authority to connect any social media account you link to ScoutsIQ. You are responsible for maintaining the confidentiality of your login credentials, workspace access, and any API tokens or OAuth grants associated with your account.
You must provide accurate information and promptly update it if it changes. You are responsible for all activity that occurs under your account and under any connected platform account.
4. User account responsibility
You retain responsibility for the accounts you connect and for the content published through them. That includes:
- ensuring you own or have rights to all media, scripts, music, and captions you submit or generate for publication;
- complying with TikTok’s Terms of Service, Community Guidelines, Developer Terms, and any other destination platform’s rules;
- reviewing queued content before it is scheduled, where the Service provides a review step;
- keeping connected accounts in good standing and promptly disconnecting access if an account is sold, transferred, or compromised.
ScoutsIQ is a technical publisher and orchestrator. We do not assume editorial ownership of your content, and we are not responsible for how destination platforms rank, restrict, or remove posts.
5. API tokens and connected platforms
When you connect TikTok or another platform, you authorize ScoutsIQ to store and use OAuth access and refresh tokens solely to authenticate API requests and to upload, schedule, and manage content you have authorized. You must not:
- share, sell, or publicly expose API tokens, secrets, or refresh tokens;
- use another person’s tokens or accounts without their permission;
- attempt to circumvent rate limits, permission scopes, or platform security controls;
- use the Service to access TikTok or other APIs in a manner that violates that platform’s developer terms.
You may revoke ScoutsIQ’s access at any time through the destination platform’s account settings. After revocation, API calls using those tokens will fail, and we will delete stored tokens for that connection as described in our Privacy Policy.
6. Acceptable use
You agree not to use the Service to:
- publish content that is illegal, infringing, deceptive, or that violates platform community guidelines;
- spam, manipulate engagement metrics, or operate fake or unauthorized accounts;
- interfere with or disrupt the Service, its infrastructure, or other users;
- reverse engineer, probe, or overload the Service except as permitted by law;
- upload malware or attempt unauthorized access to our systems or to connected APIs;
- use the Service to collect or process personal data of TikTok viewers or other end users beyond what a destination platform returns for your own authorized posts.
We may suspend or terminate access immediately if we reasonably believe you have violated these Terms or a destination platform’s rules.
7. Content and intellectual property
You retain ownership of content you submit. You grant ScoutsIQ a limited license to host, process, render, transmit, and publish that content solely as needed to operate the Service for you.
The ScoutsIQ name, website, software, and documentation are owned by ScoutsIQ and are protected by applicable intellectual property laws. You may not copy or reuse our marks or software except as expressly permitted.
8. Third-party services
The Service depends on third-party providers, including cloud infrastructure, media processing vendors, and social platforms such as TikTok. Those providers have their own terms and privacy policies. ScoutsIQ is not responsible for outages, API changes, policy enforcement, or data handling by third parties outside our control.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOUTSIQ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that publishing will succeed in every case, that analytics will be complete or error-free, or that destination platforms will display or distribute your content in any particular way.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOUTSIQ AND ITS OPERATORS, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SCOUTSIQ FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
11. Indemnification
You will defend, indemnify, and hold harmless ScoutsIQ from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your content, your connected accounts, your misuse of API tokens, or your violation of these Terms or of third-party platform rules.
12. Termination
You may stop using the Service at any time and may disconnect connected accounts or revoke API access through the destination platform. We may suspend or terminate the Service, or your access to it, at any time if you breach these Terms, if required by a platform or by law, or if we discontinue the product.
Upon termination we will stop using your tokens to publish and will delete or de-identify stored credentials as described in the Privacy Policy. Provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive termination.
13. Changes
We may update these Terms from time to time. The “Last updated” date at the top of this page will change when we do. Continued use of the Service after an update constitutes acceptance of the revised Terms.
